Terms and Conditions of Business
1. GENERAL
1.1 The situation of VERVE Lifestyle registered office is in England.
1.2 As a Client of VERVE Lifestyle you agree to these terms and conditions and our privacy policy when you instruct VERVE Lifestyle Ltd. to complete a project or service.
1.3 VERVE Lifestyle normal business hours are from 09.00 to 17.00 Monday to Friday excluding all UK Bank Holidays. Services outside these hours will be charged at a higher hourly rate. This rate will be agreed in advance with the Client.
2. SERVICE TERMS
2.1 An initial Consultation (up to 1 hour) is free of charge and can be carried out via Zoom, telephone or face to face (adhering to social distancing and current Government guidelines)
2.2 Work can be accepted from the client by email, phone, post, USB drive or courier.
2.3 We reserve the right to reject any work, including work which we believe to be unlawful or immoral.
2.4 All work carried out by us will be proof-read and checked, however final proof-reading of the work lies with the client. Anything that requires correction must be notified to VERVE Lifestyle within 5 working days of the Client’s receipt of completed work and will be rectified free of charge.
2.5 If the Client requires VERVE Lifestyle to carry out or arrange for services to be performed at a specific location the client must give reasonable access to the location for the service concerned to be completed.
2.6 In the unlikely event that VERVE Lifestyle cannot complete a task we will inform you as soon as is reasonably possible.
2.7 Some services may require VERVE Lifestyle to bring in external suppliers / third parties. We only work with trusted, reliable & professional partners. The Client may be required to pay any third parties independently and The Client must comply with the third parties Terms & Conditions. VERVE Lifestyle cannot be held responsible for the actions of suppliers.
2.8 VERVE Lifestyle will make every effort to complete a service or task. However they will not be liable if a service or task cannot be completed for reasons beyond their control (e.g. strike, transport difficulties, act of god, war, riot, malicious damage, accidental breakdown of equipment, flood, fire, storm or other unforeseen circumstance).
2.9 VERVE Lifestyle guarantee the highest level of confidentiality at all times. We do not pass or sell client information on to third parties unless requested to do so by the client and as long as the request meets current legislation. We are happy to sign a confidentiality agreement and can provide one upon request.
2.9b When handling Client’s possessions & property VERVE Lifestyle will always take great care but in the case of accidents, we shall not be liable for losses or damage, however they are caused.
3. PAYMENT TERMS & CHARGES
3.1 Payments can be made by Direct Debit or bank transfer.
3.2 VERVE Lifestyle will issue The Client with an invoice on confirmation of contract totalling 50% of the initial monthly retainer or project value. On receipt of this payment VERVE will commence work with the client. Thereafter invoices will be issued on the first working day of each month. Payment is due 14 days from the date on the invoice.
3.3 A 5% late payment fee will be applied to any invoice that is not paid after 14 days.
3.4 All expenses – for example car parking, postage, packaging etc will be listed on The Client’s invoice. Receipts will be provided.
3.5 Site visits & meetings, following the initial consultation will be billed as meeting time.
3.6 Travel time and mileage to or from The Client’s premises are included in the hourly rate within a 5mile radius of Hitchin. Additional mileage will be charged at a rate of 45p per mile.
3.7 VERVE will only accept a minimum booking of 1 hour.
3.8 Hourly Rates Start from £20 + VAT per hour and are dependent on the task / project. Larger projects will be quoted for on a bespoke basis, offering The Client a fixed price.
3.9 In the result of The Client cancelling a booking with VERVE the following charges apply. Less than 48 hours notice a cancellation fee of 50% of the contract value is payable, 48 hours – 7 days in advance, a cancellation fee of 25% of the contract value is payable. VERVE will assist the The Client where possible to re-schedule their booking in which case cancellation charges will not be applicable.
4. TERMINATION OF CONTRACT
4.1 Either VERVE or The Client are entitled to terminate a contract on a 4 weeks written notice to the other.
5. INSURANCE
5.1 We have professional indemnity and public liability.
